TERMS OF TRADING (standard)

THE STANDARD CONTRACT TERMS SET OUT BELOW (“Terms”) A PPLY TO THE SUPPLY OF ALL WORK BY J. SAUNDERS & SONS PTY. LIMITED

 

Definitions -
“Customer” means the company, firm or individual named in the Quotation;
“Customer Property” means any property of the Customer held by the Printer or property and material supplied to the Printer by or on behalf of the Customer

“Delivery” means delivery by the Printer to the Customer ex Saunders warehouse 1 Glendenning Rd Glendenning NSW;
“Price” means the price payable by the Customer for the Work carried out by the Printer in accordance with the Customer’s Order and the Quotation in respect thereof;
“Work” means any printing work specified in the Quotation and any other work, material, information or items supplied by the Printer to the Customer;
“Work in Progress” means any printed work in an incomplete state.


General -
1. Quotations given by the Printer shall not constitute an offer to sell.
2. Where proofs or Work are sent to the Customer for approval the Printer shall not be responsible for any errors not corrected by the Customer in those proofs.
3. Time for payment shall be of the essence. If the Customer fails to make payment in accordance with this clause the Printer shall, in addition to all of its other rights, be entitled to:
(a) suspend the supply of further Work; (b) treat the Contract as repudiated.
4. Failure to deliver Work at the time specified for its Delivery shall not render the Printer liable for any damages, direct or indirect , sustained by the Customer as a result of that
failure nor entitle the Customer to cancel Delivery of that Work or of any other Work.
5. Title in the work passes to the customer;
    a. when the finished work is printed and ready for delivery;
    b. if the printer is required to store the work e.g. masters (shells), and the customer has paid for such work, when the work is printed.
6. At the discretion of the Printer, all plates, type, cutting forms, film, bromides and other surfaces may be cleaned off, broken up or destroyed immediately on completion of Work to
which they relate unless otherwise agreed by the Printer in writing.
7. The liability of the Printer with respect to any Work is limited to the price for that Work.
8. The Printer shall in no event be liable for any damage whether direct, indirect, special or consequential arising in any way out of the inadequacy of or otherwise relating to the work.
9. The obligations of the Printer under the Contract shall be suspended for the period and to the extent that it is wholly or partially precluded from complying with those obligations
by Force Majeure.
10. Force Majeure includes, but is not restricted to, acts of God, fire, storm, flood, earthquake, explosion, accident, acts of a public enemy, war, rebellion, insurrection, sabotage,
epidemic, quarantine, restriction, labour dispute, labour shortage, embargo or failure or delay in transportation, acts (including laws, regulations, disapprovals or failure to approve)
of any government or agency whether national or municipal or otherwise.
11. If a situation of Force Majeure has continued for an unbroken period of three months the Printer may terminate the Contract forthwith by giving notice in writing to the Customer.
12. Ownership of work in progress remains with the Printer notwithstanding any pre-payment or monies otherwise advanced by the customer to the Printer under the terms of the contract.
13. No variations of these Terms or any Contract shall be valid unless recorded in writing and signed by an authorised officer on behalf of the Printer.
14. PAY AS YOU GO ORDERING SYSTEM. (With Shells) under this system we will bill the total cost of printing each business card order when completed. If for any reason you
discontinue using the pre - printed shells we will require payment at the per 1000 rate listed in your quotation.
15. PREPAID. Under this system we will bill the total cost of printing every business card order at the commencement . If for any reason you discontinue using the system either
it is replaced with another system and an equivalent number of unused imprints will be credited to that system or any balance that remains will not be available for use after
1 year from the date of the last order.
16. No Variation of these Terms or any contract shall be valid unless recorded in writing and signed by an authorised officer on behalf of the Printer.
